Nuance Technology

The Grainger Property uses Nuance Technology. You are granted a non-exclusive, non-transferable right and license to use the Nuance Technology as incorporated in to the Grainger Property, for the sole and limited purpose of accessing the Nuance Technology.

You acknowledge that Grainger and its licensors retain all right, title and interest in and to the original, and any copies, of software which is incorporated into the Grainger Property, and to the service. Without limiting the generality of the foregoing, you agree not to: (a) submit any automated or recorded requests to the Nuance Technology unless otherwise approved in writing by Grainger and its licensors; (b) use the Nuance Technology for commercial use; (c) access the Nuance Technology other than with the Grainger Property; (d) copy, reproduce, distribute, or in any other manner duplicate the Nuance Technology, in whole or in part; (e) sell, lease, license, sublicense, distribute, assign, transfer or otherwise grant any rights in the Nuance Technology, in whole or in part; (f) modify, port, translate, or create derivative works of the Nuance Technology; (g) decompile, disassemble, reverse engineer or otherwise attempt to derive, reconstruct, identify or discover any source code, underlying ideas, or algorithms, of the Nuance Technology by any means; (h) remove any proprietary notices, labels or marks from the Nuance Technology; (i) use the Nuance Technology for purposes of comparison with or benchmarking against products or services made available by third parties; or (j) knowingly take any action that would cause any of the Grainger Property or the Nuance Technology to be placed in the public domain.

The Nuance Technology may contain a copy of the Speex codec in executable form. You acknowledge that use of the Speex codec is subject to the conditions and disclaimers listed in revised BSD license found at http://www.xiph.org/licenses/bsd/speex/. © 2002-2003, Jean-Marc Valin/Xiph.Org Foundation.

As part of the Nuance Technology, Grainger and/or its licensors collect and use Speech Data, as defined below, to tune, enhance and improve the speech recognition and other components of the Nuance Technology, and other Technology and products, including the right to use data derived from Speech Data to develop statistical models used in acoustic and language models for speech recognition and other components of its Technology. In accepting the Terms, you acknowledge, consent and agree that Grainger and/or its licensors may collect the Speech Data as part of the Nuance Technology. Grainger and/or its licensors or third parties will not use the information elements in any Speech Data for any purpose except to provide a service to you and to tune, enhance and improve the speech recognition and other components of the Nuance Technology, and other Technology and products as set forth above. “Speech Data” means the audio files, associated transcriptions and log files provided by you hereunder or generated in connection with the Nuance Technology.

Open Source Licenses

The Grainger Property includes certain third-party technology, services, software, applicable or links to third party websites (“Technology”) that may be covered by so-called “open source” software licenses (“Open Source Components”), which means any software licenses approved as open source licenses by the Open Source Initiative or any substantially similar licenses, including without limitation any license that, as a condition of distribution of the software licensed under such license, requires that the distributor make the software available in source code format. To the extent required by the licenses covering Open Source Components, the terms of such licenses will apply to such Open Source Components in lieu of the Grainger Terms of Access (“Terms”). To the extent the terms of the licenses applicable to Open Source Components prohibit any of the restrictions in the Terms with respect to such Open Source Component, such restrictions will not apply to such Open Source Component. To the extent the terms of the licenses applicable to Open Source Components require licensor to make an offer to provide source code or related information in connection with the Technology, such offer is hereby made.
